Welcome to CarsonTech. These Terms and Conditions ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

Services Offered

 

CarsonTech provides the following services:

​

Computer Science Tutoring: Educational guidance for high school students navigating AP Computer Science courses and related programming topics.

Artificial Intelligence Consulting: Consulting services to help businesses understand and implement AI solutions, including strategy development, tool selection, and implementation guidance.

Custom Software Development: Development of software solutions, including AI-powered applications, automation tools, and custom business software.

The specific scope, deliverables, timeline, and pricing for each engagement will be outlined in a separate service agreement or statement of work.

Client Responsibilities

 

When engaging our services, you agree to:

​

  • Provide accurate and complete information necessary for service delivery

  • Respond to requests for information or feedback in a timely manner

  • Review and approve deliverables within agreed-upon timeframes

  • Make timely payments according to the agreed-upon terms

  • Respect intellectual property rights and confidentiality obligations

  • Use our services in compliance with all applicable laws and regulations

Payment Terms

 

Pricing: Service fees will be agreed upon before work begins and outlined in a service agreement, proposal, or invoice.

Payment Schedule: Payment terms will be specified for each engagement and may include upfront deposits, milestone payments, or payment upon completion.

Late Payments: Invoices are due within the timeframe specified on the invoice. Late payments may incur a fee of 1.5% per month or the maximum rate permitted by law, whichever is less.

​

Refunds: Refund policies will be specified in individual service agreements. Generally, work already completed is non-refundable.

​

Expenses: Unless otherwise agreed, clients are responsible for reimbursing approved third-party expenses such as software licenses, hosting fees, or specialized tools required for project completion.

Intellectual Property

 

Client Materials: You retain all rights to materials, content, and information you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering services to you.

​

Work Product: For custom software development projects, ownership of deliverables will be specified in the service agreement. Generally:

​

  • Custom code developed specifically for your project becomes your property upon full payment

  • We retain ownership of pre-existing code, frameworks, tools, and general knowledge

  • We may retain portfolio rights to showcase non-confidential aspects of our work

 

Tutoring Materials: Educational materials created for tutoring sessions may be provided for your personal educational use but remain the intellectual property of CarsonTech.

Confidentiality

 

We understand that you may share confidential business information with us during the course of our engagement. We agree to:

​

  • Keep your confidential information secure and private

  • Use confidential information only for the purpose of providing services

  • Not disclose confidential information to third parties without your consent

  • Return or destroy confidential information upon request after service completion

 

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Warranties and Disclaimers

 

Service Quality: We will provide services in a professional manner consistent with industry standards. We will make reasonable efforts to meet agreed-upon deadlines and specifications.

​

No Guarantees: While we strive for excellence, we cannot guarantee specific results or outcomes from our services. Business success depends on many factors beyond our control.

​

Educational Services: Tutoring services are provided for educational purposes. We cannot guarantee specific grades, test scores, or college admission outcomes.

​

Software Disclaimer: Custom software is provided "as is" unless otherwise specified in a service agreement. We will address bugs and issues discovered during an agreed-upon warranty period, but cannot guarantee the software will be error-free or meet all your requirements.

​

Third-Party Tools: We may recommend or integrate third-party tools and services. We are not responsible for the performance, reliability, or policies of third-party providers.

​

Limitation of Liability

 

To the maximum extent permitted by law:

​

General Limitation: Our total liability for any claims arising from our services shall not exceed the total amount paid to us for the specific service giving rise to the claim.

​

Excluded Damages: We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

​

Professional Services: We provide consulting and development services based on our best professional judgment. We are not liable for business decisions you make based on our recommendations.

​

Student Provider: CarsonTech is operated by a college student. While we maintain high professional standards, clients acknowledge this context when engaging our services.

​

Termination

 

By Client: You may terminate services at any time with written notice. You will be responsible for payment for all work completed up to the termination date.

​

By CarsonTech: We reserve the right to terminate services if you breach these Terms, fail to make required payments, or if continuing service becomes impractical or unreasonable.

​

Effect of Termination: Upon termination, you must pay for all services rendered. We will deliver completed work and return your materials. Both parties' confidentiality obligations survive termination.

​

Modifications to Services

 

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will make reasonable efforts to provide notice of significant changes that affect active client engagements.

​

Indemnification

 

You agree to indemnify and hold CarsonTech harmless from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

​

Dispute Resolution

 

Governing Law: These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law provisions.

​

Informal Resolution: In the event of any dispute, we encourage you to contact us first to seek an informal resolution.

​

Arbitration: If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court.

​

Small Claims: Either party may bring an action in small claims court for disputes within the court's jurisdiction.

General Provisions

Entire Agreement: These Terms, together with any service agreement or statement of work, constitute the entire agreement between you and CarsonTech regarding our services.

​

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

​

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

​

Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to a successor entity.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control.

Website Use

 

Acceptable Use: You agree not to use our website to transmit harmful code, attempt unauthorized access, or engage in any illegal or harmful activity.

Content Accuracy: While we strive to provide accurate information on our website, we make no warranties about the completeness or accuracy of content. Information on our website is for general informational purposes only.
